Ameen T. Rashid Legal Consultancy is a boutique UAE focused legal practice advising family offices, corporates, founders and high net worth individuals on structuring, transactions and complex commercial matters.  We provide senior attention on every instruction and we aim to deliver advice that is clear, practical and aligned to commercial reality.

The practice is founded by British lawyer, Ameen T Rashid, who brings more than 20 years of experience in the UAE and the region. He has held two General Counsel roles and a Legal Director role leading the legal function, advising boards, C suite leadership teams and principals on complex commercial and regulatory matters. His sector experience includes healthcare and life sciences, technology and data, and private capital and investment related mandates. He is known for combining technical structuring and drafting capability with commercial judgement, discretion and speed of execution.  Ameen regularly publishes practical commentary on UAE structuring, governance, family office and healthcare relevant topics.  A link to selected articles is available at the foot of this page.

What we do

 

We advise family offices, corporates and high net worth individuals on UAE structuring, transactions and ongoing commercial risk. Our approach is discreet, partner led and commercially pragmatic, focused on clear outcomes and decisive execution.

Set up and structuring

We advise on optimal UAE set up routes for operating businesses and holding structures, including mainland, free zone and financial free zone options.  This includes entity selection, governance arrangements, shareholder architecture, licensing considerations, and the legal implementation steps required to get from a proposal to a functioning structure that can contract, hire, bank and operate.

Asset holding, protection and succession aligned structuring

We advise on and implement asset holding and ringfencing structures such as foundations, special purpose vehicles and, where appropriate, trust based arrangements.  The focus is on robust ownership architecture, governance and control, inter generational planning considerations, and reducing avoidable friction in the event of incapacity, death, or shareholder fallout.  Where the mandate involves multiple jurisdictions, we coordinate with foreign counsel and relevant service providers to achieve a coherent end to end outcome.

Corporate, private capital and shareholder matters

We advise on corporate law matters across the lifecycle of a business, from early stage shareholder arrangements through to growth, exits and reorganisations.  This includes drafting and negotiating shareholder agreements and joint venture agreements, structuring and documenting share sales, managing shareholder exits, and advising on mergers and acquisitions.  We also support boards and principals on governance issues, reserved matters, director duties, conflicts management, and practical decision making frameworks.

Commercial contracts and trading frameworks

We draft, negotiate and refine the commercial documents that underpin revenue, distribution, manufacturing and service delivery. This includes manufacturing and licensing arrangements, trademark licensing, distribution models, commercial agency considerations, reseller and franchise frameworks, sale of goods and services agreements, consultancy and supply arrangements, introducer and referral arrangements, confidentiality arrangements, non circumvention arrangements, and settlement documentation.  The emphasis is on enforceable risk allocation, clear performance obligations, and remedies that are usable in practice.

We advise clients developing, procuring or licensing technology, including AI enabled products and services. We focus on the issues that matter commercially and legally, including data rights, confidentiality and security, liability allocation, audit and governance mechanisms, intellectual property, service levels, and exit protections. We also draft internal governance documentation for commercial clients, including acceptable use policies, privacy documentation and risk management protocols, with a focus on UAE data protection requirements and operational reality. The objective is to help clients move quickly without taking unpriced risk.

Healthcare and life sciences

We advise healthcare and life sciences businesses on transactions and contracting within the sector, including asset purchase arrangements, manufacturing and licensing, molecule licensing, technology transfer, co marketing, distribution, quality agreements and healthcare professional engagement documentation.  We also draft corporate policies tailored to sector requirements, including compliance and governance frameworks that are workable and audit ready.

Data privacy and regulatory alignment

We support clients in understanding and navigating the UAE data protection landscape and in translating regulatory requirements into compliant contracting, policies, and customer facing terms.  The work typically includes gap assessments, remediation roadmaps, contract updates, internal policy suites and practical implementation support, with an emphasis on proportionality and business enablement.

We specialise in bespoke, hybrid agreements that combine multiple commercial relationships into a single coherent document. This is often required where there is a mix of licensing, supply, services, marketing and performance based remuneration, or where the commercial reality is novel and cannot be captured safely by borrowed precedent.

Powers of attorney and personal documentation

We draft powers of attorney and related documentation to meet client requirements, including where the objective is asset management, transaction execution, or corporate representation.  We ensure the document is structured for the intended use case and aligned with the formalities typically required for acceptance by counterparties and relevant authorities.

Fractional General Counsel

For clients that do not require a full time in house lawyer, we provide a fractional general counsel service.  This offers access to senior legal support for contracting, governance, compliance and strategic risk issues, with predictable support models suited to management teams that value speed, judgement and clear prioritisation.

Fees and the way we work

We use transparent, client focused fee structures designed to deliver high quality legal services with clear value and cost predictability. Depending on the instruction, this may include fixed fees for defined deliverables, scoped monthly retainers for ongoing support, or time based billing where the work cannot sensibly be priced in advance. In all cases, we agree scope and reporting lines at the outset, and we keep advice and drafting aligned to the commercial outcome you are trying to achieve.
